S Corp Filing Requirements by State: 2025 Update, 50 States

If you currently are a freelancer, sole proprietor, or independent contractor, you very likely could see some great tax benefits by switching to an INC or LLC that files its taxes as an S-corp. You will also get enhanced liability protection for your personal assets. The only bummer is keeping up with the annual S corporation filing requirements.

But in my opinion, the tax and liability benefits are well worth it. You can learn more about all that by reading this article I wrote…Independent Contractor Taxes & How to Incorporate (and Save Money).

Some of what I describe in that article are the following requirements…
1) Annual corporate meetings and minutes
2) File annual state and federal tax returns
3) Annual S Corporation filing requirements for each state

This majority of this post is dedicated to the last of those items, with the intention of giving you a decent breakdown of what each state requires. But I'll quickly discuss the the first two as well.

1) Annual Corporate Meetings and Minutes

Most states require that corporations hold regular shareholder meetings and keep minutes of such meetings. If the company is owned by just you, this means you literally “have a meeting” with yours. And you as the secretary take “minutes” or notes.

States have most of the s corporation filing requirements.

However, the reality is that S corporation meeting minutes are not required to be filed with the state, so you literally keep these documents in your desk or filing cabinet. No one is coming around to confirm they are in your desk though.

That said, if you undergo and audit, the state or IRS may ask for them. So it's probably good to keep up on. All of the incorporation services will provide you with a template to use, which makes it easy.

S corporation meeting minutes would contain the following information, generally speaking.
-The location of the meeting and the date
-The attendees of the meeting
-A description of the matters discussed (if any)
-Any results of votes take on particular items (if any)

2) File Annual State and Federal Tax Returns

Federal Tax Return

Being an S-Corp is an actual tax specific entity, that is separate from your personal tax life, so you have to file a tax return for it. You would do this before you file your personal tax return, because the profits or loss from you business would flow through to your personal tax return via a K1.

The date for filing your Corp return is March 15th
The date for filing your personal return is April 15th

The form you use to file an s-corp return is IRS form 1120-S. Your personal return is filed using IRS for 1040.

Instead of a social security number, it has what is a called an employer tax identification number (EIN). So when you file your corp tax return it is linked to this number. Just like your personal tax return is linked to your social security number.

State Tax Return

State tax returns and/or minimum entity taxes vary by state. Even states that have no personal income tax, may actually have corporate tax.

I can say that because S-corps pass all profits to the owner via a K1, most likely any tax liability for s-corp profits would be handled on the owners personal returns.

That said, some states do have a minimum tax, that an entity must pay to the state, just for having the entity, regardless of whether the entity was profitable or not. This is often called a privilege tax or Franchise Tax

I should also note again, that qualify as an S corporation, an IRS Form 2553 must be filed with the Internal Revenue Service. In very few states, you will also be required to file a separate state election, as specified by that state, in order to qualify as a Sub S Corporation. Only Arkansas, New Jersey, New York, Ohio and Wisconsin require state level filing in addition to IRS filing (As far as I currently know, but things change, so double check)

CPAs

As always you need to either consult with a CPA when it comes to filing your taxes, or perhaps use a service like H&R block or Turbo tax as a cheaper alternative.

DISCLAIMER:

I consider this list a great place to start, but because requirements can change over time, you should go to your state's Secretary of State website to confirm the information. I have included the various state sites you would need to go to in order to complete these filings, so that will make it easier to check.

I have also noted in my list any state minimum entity tax that I am aware of…but the list is not full proof in that sense. It's hard to do this because sometimes the minimum tax is based on the entity revenue.

Also in some states the “minimum” business tax is represented by the fee to file your “annual report”, meaning they are one-in-the same. But in other states (like in CA) you have to pay a fee for your annual report and pay a minimum state tax.

    • All Alabama C corporations and S corporations must include an Alabama Annual Report (Schedule AL-CAR) WITH the business tax return. The filing fee is $10.
  • Minimum Business Tax, Franchise Tax or Privilege Tax
    • Alabama business privilege tax is based on the net worth of the business entity and is levied on business entities. Generally, the minimum business privilege tax is $100
    • Schedule AL-CAR is filed with Business Privilege Tax Return is accepted in lieu of a separate Annual Report. C Corps must file Form CPT. S Corps must file Form PPT.

  • InitialRequirements
    • All corporations must publish a notice of intent to incorporate in a newspaper which is the official legal organ of the county where the initial registered office of the corporation is to be located.  The notice should be published once a week for two consecutive weeks and it should contain the name of the corporation, the name of the registered agent and the address of the registered office in Georgia.
    • Within 90 days of incorporation, each Georgia corporation that has a business start date between January 1–October 1 must file with the Secretary of State an initial annual registration that lists 3 principal officers – CEO, CFO and Secretary.
    • Georgia corporations that have a business start date between October 2 – December 31 must file with the Secretary of State an initial annual registration during the 1st quarter of the year after the the business effective date.

NEBRASKA Annual S Corporation Filing Requirements

  • Initial Requirement
    • Publication Requirement:Domestic Nebraska corporations must publish a notice of incorporation, amendment or merger for three successive weeks in some legal newspaper of general circulation in the county where the corporation’s principal office or its registered office is located.  The notice shall show, the corporate name, the number of shares the corporation is authorized to issue, the street address of the corporation’s registered office and the name of its registered agent along with the name and address of each incorporator.

    • Due Date: April 1st of each even-numbered year.
    • Filing Fee: $26
  • Minimum Business Tax, Franchise Tax or Privilege Tax
    • Nebraska’s corporation occupation tax applies to traditional corporations and S corporations.
    • It is a biennial tax and is based on a business’s net worth. This appears to be filed along with the annual report, or may be the same filing.
    • The specific fee due is based on the amount of paid-up capital stock in the corporation. The tax is graduated, with fees ranging from $26 for $10,000 or less of paid-up capital stock to $23,990 for more than $100 million of paid-up capital stock.

SOUTH CAROLINA Annual S Corporation Filing Requirements

    • Domestic and foreign corporations, as well as professional corporations file SC 1120 Corporation Tax Return. The form has a corporate annual report included on page three. Deliver this form by mail to SC Department of Revenue with the Federal return attached.
